1. Purpose and Acceptance

These Terms & Conditions (“Terms”) govern participation in the Apex Circle Awards (“Apex Circle Awards”, “Awards”, “Award Programme” or “Programme”), including nominations, entries, judging, finalist selection, winner selection, Award recognition, advertising, sponsorship, promotional services and related commercial services.

The Programme is operated by [FULL LEGAL COMPANY NAME] (“Organiser”, “we”, “us” or “our”). Any person or business that submits an entry, accepts a nomination, participates in the Programme, purchases a related service or otherwise uses the Programme agrees to these Terms. If you do not agree to these Terms, you should not participate in the Programme or purchase any related service.

These Terms shall be read together with any applicable category rules, judging methodology, Privacy Policy, Cookie Policy, Advertising Terms, Sponsorship Terms and Brand Usage Rules published by the Organiser.

2. Nature of the Apex Circle Awards

The Apex Circle Awards are a privately operated business recognition programme designed to recognise businesses, organisations, professionals, brands and other eligible entities for demonstrated achievement, performance, customer reputation, innovation, quality, impact and other category-specific characteristics. An Award is a form of private recognition.

The Organiser shall not knowingly represent the Awards as government-approved, government-certified or officially endorsed where no such approval, certification or endorsement exists.

  • An Award is not a governmental licence, certification, regulatory approval or professional accreditation;
  • not a guarantee of quality, financial performance or future commercial success;
  • not an investment recommendation;
  • not an endorsement by the Government of the United Arab Emirates or the Government of Dubai, unless such endorsement or status actually exists and is expressly identified by the Organiser.

3. Eligibility

Eligibility may differ between Award categories. Category-specific requirements may include industry, business activity, geographical location, period of operation, legal status, business size, professional qualifications, customer base, minimum operating period, specific achievements and other reasonable requirements relevant to the category.

The Organiser may request reasonable evidence to verify eligibility. Submission of an entry does not guarantee acceptance, nomination, finalist status, a particular score, ranking or an Award.

4. Nominations

A business or individual may be nominated by itself, its owner or representative, a customer, an employee, a business partner, an industry professional, a member of the public, or another person permitted under the relevant category rules.

A nomination merely begins the Award consideration process. A nomination does not mean that the nominee is a finalist or winner. The Organiser may reject nominations that are incomplete, fraudulent, abusive, unlawful, misleading or inconsistent with the Programme rules.

5. Information Provided by Participants

Participants are responsible for ensuring that all information submitted to the Organiser is accurate, complete and not materially misleading. The Organiser may verify information using reasonable and lawful sources. Where material information is found to be false or misleading, the Organiser may disqualify the Participant or withdraw an Award.

  • Participants must not provide materially false information or fabricate business achievements;
  • must not manipulate evidence, impersonate another business or submit fabricated testimonials;
  • must not purchase or manufacture reviews for the purpose of influencing the Awards;
  • must not falsely represent qualifications, certifications or business performance;
  • must not otherwise attempt to manipulate the Award process.

6. Independent Judging

The Organiser shall seek to maintain a fair, impartial and independent judging process. Judges may be selected based on professional experience, industry expertise, academic or professional background, specialist knowledge, reputation and other relevant qualifications. Judges shall be required to act independently and in good faith. The Organiser may replace a judge where necessary.

  • Judges may be required to maintain confidentiality and declare actual or potential conflicts of interest;
  • refrain from influencing another judge improperly;
  • recuse themselves where an actual or material conflict exists;
  • assess entries against the published criteria.

7. Conflict of Interest

A judge must disclose any actual, potential or reasonably perceived conflict of interest involving a Participant. A conflict may include a close personal relationship, a direct commercial relationship, employment, ownership, financial interest, consultancy relationship, a competitive relationship that could materially affect impartiality, or any other circumstance reasonably capable of affecting independent judgement. Where the Organiser determines that a material conflict exists, the judge shall not participate in the relevant evaluation.

8. Award Categories and Criteria

Each category may have specific criteria. Unless otherwise stated, the overall Award Score shall be calculated on a 100-point scale. The Organiser may publish category-specific criteria where a different weighting is more appropriate for the nature of the Award. Any category-specific weighting shall be communicated in the relevant category information.

9. Judges’ Scoring

Where a judging panel is used, each judge shall independently score the applicable criteria. Unless the category rules specify otherwise, each judge shall provide a score for each criterion. For each criterion, the Criterion Score is the average of all valid judges’ scores. The individual judges’ scores shall then be combined according to the published criterion weighting.

Example: if a category has five judges and their Business Excellence scores are 80, 90, 85, 90 and 95, the average is 88 points, which is then converted according to the applicable weighting. The Organiser may use a digital judging system or other documented scoring system.

10. Public Reputation and Third-Party Reviews

Public customer reputation forms an important component of the Apex Circle Awards. Where applicable, the Organiser may consider publicly available customer ratings and reviews from independent third-party platforms, including Google, Tripadvisor, Facebook, recognised industry-specific review platforms and other publicly accessible review platforms.

The Organiser does not claim that any such platform endorses, sponsors or is affiliated with Apex Circle Awards. Third-party platforms remain independent businesses and their trademarks remain the property of their respective owners.

11. Customer Reputation Score — 25 Points

The Public Reputation / Third-Party Reviews component shall normally account for 25 points out of the overall 100-point Award Score, calculated as follows.

A. Normalised Platform Rating — 15 points. The publicly displayed rating from each relevant available platform at the defined evaluation date is converted to a common 0–100 scale. For a platform operating on a 5-point scale: Normalised Rating = (Displayed Rating ÷ 5) × 100. Example: 4.6 / 5 = 92 / 100. Where multiple eligible platforms are available, the platform scores shall normally be averaged equally. This prevents a business with thousands of reviews on one platform from automatically overpowering a business because of review volume alone.

B. Review Volume — 5 points. The number of genuine publicly available reviews may be considered as an indicator of the breadth of customer feedback, using a normalised review-volume methodology rather than simply awarding the highest score to the business with the largest number of reviews. The purpose is to distinguish between a high rating supported by substantial customer feedback and a high rating based on an extremely small number of reviews. Review volume shall not, by itself, determine the Award.

C. Recency & Consistency — 3 points. The Organiser may consider whether the rating is sustained over time, whether recent customer feedback is consistent with the historical rating, whether there is evidence of a sudden unexplained change, and whether customer sentiment appears reasonably consistent.

D. Review Integrity — 2 points. The Organiser may assess whether publicly available review data appears credible and consistent, and may disregard data where there are reasonable grounds to believe that it is fraudulent, duplicated, artificially generated, purchased, manipulated, submitted by the business under false identities, unrelated to the relevant business, or otherwise unreliable.

12. Example of Review Score

Assume a business has Google 4.7 / 5, Tripadvisor 4.6 / 5 and Facebook 4.8 / 5. Normalised scores: Google = 94, Tripadvisor = 92, Facebook = 96. Average platform rating: (94 + 92 + 96) ÷ 3 = 94. The 94/100 platform reputation result is then converted into the applicable 15-point Platform Rating component; the review-volume, recency/consistency and integrity components are calculated separately. The final Public Reputation Score may therefore be, for example, 22.8 / 25. The actual result depends on the published methodology and verified data available at the evaluation date.

13. Different Review Platforms

Not every business will have a presence on every review platform. The absence of a particular platform shall not automatically constitute a negative rating. Where a platform is not reasonably applicable to a business or category, the Organiser may exclude that platform from the calculation.

Where sufficient third-party data is unavailable, the Organiser may use the available platforms, reduce the weighting of the public-review component, use another recognised public-review source, treat the unavailable portion as not applicable, or use additional judging evidence. The methodology shall seek to avoid unfairly penalising businesses simply because a particular review platform is not relevant to their industry or market.

14. Review Snapshot Date

Third-party ratings and reviews can change continuously. Accordingly, the Organiser may establish a specific Evaluation Snapshot Date. The ratings, review counts and other publicly available information used for the Award shall normally be those reasonably available on the Evaluation Snapshot Date. A rating that changes after the Snapshot Date shall not automatically require the Award result to be recalculated. The Evaluation Snapshot Date may be published for each Award cycle or category.

15. Lawful Use of Third-Party Information

The Organiser shall use publicly available third-party information only to the extent reasonably permitted by applicable law and the relevant platform’s terms. The Organiser shall not represent that it has access to confidential, private or restricted information belonging to Google, Tripadvisor, Facebook or another third-party platform unless it actually has lawful access. The Organiser may rely on publicly displayed ratings and review information without claiming ownership of the underlying third-party content.

16. Customer Reviews Are Not the Sole Basis of an Award

A business shall not win an Apex Circle Award solely because it has the highest online rating. Third-party reviews form one component of the overall evaluation. The final Award Score incorporates multiple criteria, including business excellence, customer experience, reputation, innovation and industry impact. This prevents the Programme from becoming merely a competition for the highest online review rating.

17. Final Award Score

Unless otherwise stated for a particular category: Final Award Score = 25% Business Excellence & Performance + 20% Customer Experience & Service Quality + 25% Public Reputation / Third-Party Reviews + 15% Innovation & Differentiation + 15% Industry Impact / Leadership / Sustainability = 100%.

The Participant with the highest valid Final Award Score shall normally rank first within the relevant category, subject to eligibility, integrity checks and the applicable category rules.

18. Finalist Selection

Finalists shall normally be selected based on the highest valid Final Award Scores within each category. The Organiser may determine the number of finalists appropriate for each category. A Participant must satisfy all eligibility and integrity requirements before finalist status is confirmed. A high preliminary score does not guarantee finalist status if material eligibility or integrity concerns subsequently arise.

19. Winner Selection

Unless otherwise stated in the applicable category rules, the winner shall normally be the eligible finalist with the highest valid Final Award Score. In the event of a tie, the Organiser may apply a tie-breaking procedure based on the highest Public Reputation / Customer Experience component, the highest judges’ combined score, the highest Business Excellence score and, where necessary, an additional review by the judging panel. The tie-breaking method may be adapted to the category where objectively justified.

20. Judging Records

The Organiser may retain judging records for a reasonable period for audit purposes, integrity verification, dispute handling, legal compliance and internal administration. Individual judges’ deliberations and confidential comments may remain confidential. Participants shall not automatically be entitled to receive confidential internal judging notes or another judge’s individual scoring information, except where required by applicable law.

21. Commercial Independence — No Pay-to-Win

THE PURCHASE OF A COMMERCIAL SERVICE DOES NOT BUY AN AWARD. The purchase, non-purchase, acceptance or refusal of any advertising, sponsorship, promotional, media or recognition service shall not determine or influence eligibility, judging, judging scores, finalist status, ranking, winner selection, category placement or Award outcome.

Commercial services may include advertising, sponsorship, media packages, website advertising, social media promotion, promotional articles, interviews, PR services, event tickets, hospitality, branding packages, trophies, certificates, winner packages, digital badges and other optional commercial services. A Participant who purchases no commercial service shall be evaluated under the same Award criteria as a Participant who purchases commercial services.

22. Separation of Judging and Commercial Activities

The Organiser shall maintain a reasonable separation between the commercial operation of the Programme and the judging process. Where reasonably practicable, judges shall not be informed of a Participant’s advertising expenditure, sponsorship purchases or other commercial relationship with the Organiser where such information could reasonably create a conflict of interest.

Commercial personnel shall not have authority to instruct judges to increase, decrease or otherwise alter a Participant’s score because of a commercial relationship. No sales employee, sponsorship representative or advertising representative may promise a Participant a finalist position or Award unless such promise is expressly authorised by the Organiser’s official Award rules.

23. Advertising Services

The Organiser may offer optional advertising and promotional services, including website advertising, featured business profiles, sponsored content, social-media promotion, newsletter placement, interviews, digital campaigns, promotional articles, press releases, event branding, video production, photography and other marketing services.

Advertising services are commercial services separate from the Award evaluation. A Participant’s decision to purchase or decline such services shall not affect the Award result. Where required by applicable law, paid or sponsored content shall be appropriately identified.

24. Sponsorship

The Organiser may offer sponsorship opportunities to businesses and organisations. Sponsors may receive commercial benefits such as brand visibility, event branding, category association, hospitality, speaking opportunities, media exposure, website placement and other agreed sponsorship benefits.

Sponsorship shall not purchase or guarantee an Award, a finalist position, a particular ranking, judging points or preferential judging treatment. Where a sponsor is itself eligible to participate in the Awards, its commercial relationship shall not automatically influence its Award evaluation.

25. Winner Recognition Packages

After a winner has been officially selected, the Organiser may offer optional Winner Recognition Packages, including a trophy, certificate, winner logo, digital badge, website profile, winner announcement, media exposure, promotional article, social-media promotion, photography, video, PR materials and other promotional services.

Unless specifically stated otherwise in the applicable Award rules, purchasing a Winner Recognition Package is not a condition of receiving the Award. A winner shall not be required to purchase an advertising package merely to remain a winner.

26. No Guarantee of Commercial Benefit

Participation or winning an Award does not guarantee increased sales, bookings, revenue, additional customers, media coverage, search-engine ranking, social-media growth, investment, partnerships or any other commercial result. Any promotional exposure is subject to availability and third-party factors.

27. Prohibited Manipulation

A Participant must not attempt to manipulate the Award process through fake reviews, purchased reviews, fabricated evidence, fake nominations, duplicate entries, false identities, bribery, improper influence of judges, misleading information, fraudulent documents, artificial voting, coordinated manipulation of public ratings, or other dishonest conduct. The Organiser may investigate suspicious activity.

28. Review Manipulation

The Organiser may take action where it reasonably believes that a Participant has deliberately manipulated online reviews for the purpose of influencing the Award. Such action may include excluding suspicious reviews, excluding the affected platform data, reducing or removing the relevant scoring component, requesting clarification, disqualifying the Participant, or withdrawing an Award. The Organiser does not assume responsibility for the accuracy of every review published by an independent third-party platform.

29. Publication of Finalists and Winners

The Organiser may publish business name, business logo, Award category, finalist status, winner status, Award year, business description, publicly available business information and other information reasonably necessary to promote the Programme. Participants grant the Organiser the necessary permission to use submitted business names, logos and Award-related materials for legitimate Award administration and promotion, subject to the Privacy Policy and applicable law.

30. Award Logos and Badges

Winners may receive permission to use official Apex Circle Awards logos, badges and recognition marks, subject to the Organiser’s Brand Usage Rules.

  • A winner shall not alter the Award mark misleadingly;
  • shall not represent the Award as a governmental certification or imply that the Award is a licence;
  • shall not transfer the Award mark to another business;
  • shall not use the Award mark after withdrawal of the Award.

31. Withdrawal of an Award

The Organiser may withdraw an Award where credible evidence establishes material fraud, serious misrepresentation, manipulated evidence, serious review manipulation, material breach of these Terms, serious conflict of interest, unlawful conduct materially affecting the Award, or another circumstance that fundamentally compromises the integrity of the Award. Where reasonably practicable, the Participant shall be given an opportunity to respond before a final withdrawal decision is made.

32. Intellectual Property

All intellectual property associated with the Apex Circle Awards — including names, logos, trademarks, graphics, website design, written content, scoring systems, branding, promotional materials, photographs, videos and digital assets — belongs to the Organiser or its relevant licensors unless expressly stated otherwise. No intellectual property rights are transferred to a Participant merely by participation.

33. Participant Content

Where a Participant submits photographs, videos, logos, company descriptions, testimonials, marketing material or other content, the Participant confirms that it has the necessary rights and permissions to provide that material.

The Participant grants the Organiser a non-exclusive licence to use such material for Award administration, judging, finalist and winner announcements, website publication, Award promotion, social media, media relations and other legitimate Programme-related purposes.

34. Privacy and Personal Data

The Organiser shall process personal data in accordance with applicable UAE data protection law and the Organiser’s Privacy Policy. Personal data may be processed for registration, nominations, Award administration, judging, communication, verification, payments, event administration, customer service, publication of Award information and other lawful Programme purposes.

Where information is obtained from publicly available third-party sources, it shall be processed only to the extent permitted by applicable law. The detailed processing activities shall be described in the Organiser’s Privacy Policy.

35. Payments

Where a paid commercial service is purchased, the applicable price and material terms shall be communicated before purchase. The Participant shall provide accurate billing information. Applicable taxes, including VAT where applicable, may be charged. The Organiser shall provide appropriate payment documentation where required by applicable law.

36. Refunds and Cancellations

Refund rights shall depend on the service purchased, whether performance has commenced, the applicable cancellation policy and mandatory rights under applicable law. Nothing in these Terms is intended to exclude a mandatory statutory refund or cancellation right. Specific commercial services may have separate cancellation terms that shall be provided before purchase.

37. Website

The Organiser shall use reasonable efforts to maintain the website. The Organiser does not guarantee that the website will always be available, uninterrupted, error-free, secure from every possible threat, or compatible with every device. Temporary interruptions may occur because of maintenance, technical problems, hosting issues, cyber incidents, third-party outages or circumstances beyond the Organiser’s reasonable control.

38. Third-Party Websites and Platforms

The website may contain references or links to third-party websites. The Organiser does not control third-party platforms and is not responsible for their content, availability, policies, algorithms, ratings, reviews, moderation decisions, technical operation or business practices.

Google, Tripadvisor, Facebook and other third-party trademarks remain the property of their respective owners. Nothing in the Programme constitutes an endorsement, partnership or official affiliation with those platforms unless expressly stated.

39. No Representation of Third-Party Endorsement

The Organiser shall not knowingly represent that a third-party platform, business organisation or governmental authority endorses the Apex Circle Awards unless such endorsement actually exists. Participants must also not make such representations when using the Award.

40. Complaints and Review Requests

Participants may submit a written complaint concerning administrative errors, eligibility, judging procedure, calculation errors, suspected conflicts of interest, integrity concerns, or other material issues concerning the Award process. Complaints should be submitted to: [COMPLAINTS EMAIL].

The complaint should include full name, business name, category, Award year, details of the issue, relevant evidence and requested resolution. The Organiser may conduct an internal review where appropriate.

41. Finality of Award Decisions

Subject to applicable law and the Organiser’s integrity procedures, Award decisions shall be final. The Organiser is not required to disclose confidential individual judges’ deliberations. Where a demonstrable calculation error, material procedural error, fraud or conflict of interest is discovered, the Organiser may review the affected decision.

42. Confidentiality

Judges and relevant members of the Award administration team may be required to maintain confidentiality concerning entries, internal discussions, individual scores, judging comments, confidential business information and other non-public Programme information. Confidential information may be disclosed where required by law or where necessary to protect the legitimate interests and integrity of the Programme.

43. Limitation of Liability

To the maximum extent permitted by applicable law, the Organiser shall not be liable for indirect, incidental, consequential or special losses arising from participation in the Programme, including loss of profit, loss of opportunity, loss of anticipated business or loss of reputation.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, wilful misconduct or any other liability that cannot lawfully be excluded.

44. Participant Indemnity

To the extent permitted by applicable law, a Participant may be responsible for losses, claims, costs or liabilities arising from materially false information supplied by the Participant, infringement of third-party intellectual property, unlawful material submitted by the Participant, misuse of Award trademarks, breach of these Terms, or unlawful conduct by the Participant. This provision shall not apply to the extent that the relevant loss results from liability that cannot lawfully be transferred to the Participant.

45. Force Majeure

The Organiser shall not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, governmental restrictions, war, terrorism, civil unrest, epidemics or pandemics, cyber incidents, telecommunications failures, payment-system failures, third-party platform failures, strikes or other extraordinary circumstances. Where necessary, the Organiser may postpone, modify or cancel an Award event.

46. Changes to the Programme

The Organiser may reasonably modify Award categories, dates, judges, venues, event arrangements, technical systems, promotional services and administrative procedures. Where a material change affects Participants, the Organiser shall provide reasonable notice where practicable. The Organiser shall not intentionally modify the rules retrospectively for the purpose of commercially favouring a particular Participant.

47. Governing Law

These Terms shall be governed by the applicable laws of the United Arab Emirates and, where applicable, the Emirate of Dubai. The competent courts of Dubai, United Arab Emirates, shall have jurisdiction over disputes, subject to any mandatory jurisdictional rights or protections that cannot lawfully be excluded.

This clause must be reviewed and confirmed by UAE legal counsel before publication, particularly depending on whether the Organiser is incorporated in mainland Dubai or a specific UAE free zone.

48. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision shall be modified or interpreted to the minimum extent necessary to make it enforceable where legally permitted. The remaining provisions shall remain effective.

49. No Waiver

Failure by the Organiser to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision subsequently.

50. Entire Agreement

These Terms, together with the applicable Award Category Rules, Judging & Scoring Methodology, Privacy Policy, Cookie Policy, Advertising Terms, Sponsorship Terms and Brand Usage Rules, constitute the applicable agreement between the Organiser and the Participant concerning the Programme and relevant services.

52. Important Participant Notice

Participation in Apex Circle Awards does not guarantee an Award. An Award cannot be purchased. Advertising, sponsorship, promotional services and Winner Recognition Packages are commercially separate from the judging process. The purchase or non-purchase of such services does not determine or influence judging scores, finalist status, ranking or winner selection.

Where public customer reviews form part of the applicable category methodology, publicly available ratings and review information from relevant independent third-party platforms may contribute to the Public Reputation Score. The final Award result is based on the applicable published scoring methodology and eligibility requirements.

53. Official Scoring Summary

Unless a category-specific methodology states otherwise, the total score is 100 points:

  1. Business Excellence & Performance — 25 points. Assessed by the judging panel against category-specific evidence.
  2. Customer Experience & Service Quality — 20 points. Assessed through submitted evidence, customer experience information and relevant category-specific evidence.
  3. Public Reputation / Third-Party Reviews — 25 points. Calculated using publicly available review and rating information from relevant independent platforms, including where applicable Google, Tripadvisor, Facebook and other recognised platforms. The 25 points consist of: 15 points normalised platform rating, 5 points review volume, 3 points recency & consistency, 2 points review integrity.
  4. Innovation & Differentiation — 15 points. Assessed by the judging panel.
  5. Industry Impact / Leadership / Sustainability — 15 points. Assessed by the judging panel.

Final formula: Business Excellence (25) + Customer Experience (20) + Public Reputation (25) + Innovation (15) + Industry Impact (15) = 100 points. The highest-scoring eligible Participant shall normally receive the Award in the relevant category, subject to the applicable Award rules, integrity checks and tie-breaking provisions.

Legal Notice

These Terms constitute a general contractual framework for the Apex Circle Awards and must be reviewed and approved by appropriately qualified UAE legal counsel before publication. The Organiser shall ensure that the final version reflects the actual legal entity, trade licence, business activity, jurisdiction, payment structure, advertising model, VAT treatment, data-processing practices and Award operation actually used by the business.

No provision of these Terms is intended to remove, restrict or waive any mandatory legal right or protection that cannot lawfully be excluded.
